Carlsberg gains full ownership of India, Nepal units

Carlsberg has acquired the remaining 33.33 percent shares in Carlsberg South Asia Pte Ltd (CSAPL) from CSAPL (Singapore) Holdings Pte Ltd, gaining full ownership of its South Asia operations.

CSAPL now entirely owns Carlsberg India Pvt. Ltd. (CIPL) and also holds a 99.94 percent stake in Nepal’s Gorkha Brewery Private Limited (GBPL). The total purchase price for the shareholding amounts to USD 744 million, with USD 50 million settled through a set-off arrangement and USD 207 million retained by Carlsberg. The latter is likely to be released after 3-5 years, depending on potential claims under the Share Purchase Agreement (SPA).

This acquisition consolidates Carlsberg’s control over its business in India and Nepal, enabling stronger market integration and enhanced growth prospects in the region.
